Terms of Service

These Terms of Service (“Terms”) govern your use of services provided by Zorva Labs (“Zorva,” “we,” “our,” or “us”) including website design, hosting, content edits, SEO, marketing, and related digital services (collectively, the “Services”). By subscribing to or using any of our Services, you (“Client” or “you”) agree to these Terms.

1. Services Offered

Zorva Labs provides the following services on a subscription or one-time basis:

  • All-In-One Website Plan ($55/month): custom website design and build (up to 3 pages), Cloudflare edge hosting, SSL, daily backups, uptime monitoring, and unlimited content edits.
  • SEO Growth Plan (from $295/month): on-page SEO, Google Business Profile optimization, keyword research, backlink building, and monthly reports.
  • Ads Management ($199/month flat): Google Ads and Meta Ads campaign setup, optimization, and conversion tracking. Ad spend is billed by Google/Meta directly.
  • Logo & Branding ($425 one-time): custom logo design, color palette, typography, and brand guidelines.
  • Custom Hourly Work ($33/hour): additional pages, design overhauls, integrations, custom features, or anything outside the All-In-One Plan’s scope. Estimated and quoted before work begins.

2. Subscription Terms & Cancellation

Subscriptions are billed monthly in advance via Stripe. You may cancel at any time through the Stripe customer portal or by contacting zorvalabs@gmail.com.

On cancellation, Services continue through the end of the current billing period. We do not provide pro-rated refunds for partial months. The Client may, at their option, request website source files at termination — see Section 5 (Ownership).

We reserve the right to suspend or terminate Services for non-payment, abusive behavior, illegal use, or material breach of these Terms.

3. What’s Included in “Unlimited Edits”

The All-In-One Plan includes unlimited content edits, defined as: text changes, photo swaps, hours/price/contact info updates, announcements, fixing typos, small layout tweaks, and CTA button changes.

The following are NOT included and will be quoted at $33/hour:

  • New pages beyond the initial 3-page build
  • Full design overhauls or rebrands
  • Custom features (booking systems, member areas, etc.)
  • Third-party integrations (CRMs, email platforms, etc.)
  • E-commerce setup
  • Anything requiring substantial new development

Larger projects are always quoted upfront. No work begins without your written approval.

4. Turnaround & Delivery

Most All-In-One websites are delivered live within 7 business days of receiving your content and assets. Content edits are typically completed within 1 business day of request.

Delays caused by Client (failure to provide content, delayed feedback, etc.) are not counted against our timelines. We are not liable for delays caused by third parties (Cloudflare, Google, domain registrars, etc.).

5. Intellectual Property & Ownership

You own your content (text, images, logos, business information). You grant Zorva Labs a license to use that content solely for the purpose of delivering the Services.

On termination of an active subscription, you may request a copy of your website source files at no charge. Zorva Labs retains ownership of any reusable code libraries, design systems, or proprietary tools used to build your site.

The Zorva Labs name, logo, and brand are our property. Client websites built under the All-In-One Plan include a small footer credit linking to zorvalabs.com.

6. Payment Terms

All payments are processed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. You are responsible for maintaining accurate billing information.

Failed payments may result in suspension of Services after a 7-day grace period. Reactivation requires payment of all past-due amounts.

Hourly work is billed at the end of each project or monthly, whichever comes first. Invoices are due within 14 days.

7. Acceptable Use

You agree not to use the Services to host, distribute, or promote:

  • Illegal content, fraud, or unlawful activities
  • Hate speech, harassment, or content that incites violence
  • Adult content, gambling, or other content prohibited by Stripe’s acceptable use policy
  • Malware, phishing, or other security threats
  • Spam or unsolicited bulk communications

We may suspend or terminate Services without refund for violations of this section.

8. Limitation of Liability

To the maximum extent permitted by law, Zorva Labs’ total liability for any claim arising from or related to the Services is limited to the total amount paid by you in the 12 months preceding the claim.

We are not liable for indirect, incidental, consequential, or punitive damages, including but not limited to lost profits, lost revenue, lost data, or business interruption — even if advised of the possibility of such damages.

Services are provided “as is” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

9. Indemnification

You agree to indemnify and hold harmless Zorva Labs from any claims, damages, or expenses (including reasonable attorneys’ fees) arising from your content, your use of the Services, or your violation of these Terms.

10. Electronic Signatures & Communications

By subscribing to a Service through Stripe Checkout or otherwise consenting to these Terms electronically, you agree that your electronic acceptance has the same legal effect as a handwritten signature under the U.S. E-SIGN Act and the Uniform Electronic Transactions Act (UETA).

You consent to receive communications from us electronically (email, in-app notifications, etc.) and agree that all communications we provide electronically satisfy any legal requirement that such communications be in writing.

11. Changes to These Terms

We may update these Terms from time to time. The “Last updated” date at the top reflects the current version. For material changes, we will notify active subscribers by email at least 14 days before the changes take effect. Continued use of the Services after changes take effect constitutes acceptance.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Tennessee, United States, without regard to conflict-of-law principles.

Any dispute arising from these Terms or the Services will first be addressed through good-faith negotiation. If unresolved within 30 days, disputes will be settled by binding arbitration in Davidson County, Tennessee, under the rules of the American Arbitration Association. The prevailing party is entitled to recover reasonable attorneys’ fees and costs.
